Legal Counsel

We are seeking a corporate lawyer to join our growing team as Legal Counsel. You will be joining a legal team of 5 professionals who are committed to the high-quality practice of law.

As part of the Xplore in-house team, the Legal Counsel will gain exposure to important company initiatives spanning across different areas of law, including corporate commercial, regulatory, litigation, and real estate. You will develop your practice while receiving tailored mentorship/coaching from senior legal team members. You will have opportunities to implement the use of AI tools in the team. You will be joining a collaborative and supportive team that values maintaining a healthy work environment.

You will routinely advise on complex legal issues, while being an integral part of the business decision-making process - combining the best of legal and business worlds. If you are currently in private practice, you can expect to be challenged intellectually, exposed to a wide variety of legal issues and transactions, while gaining some control over your hours. If you have already made the jump in-house, you know to expect a different type of practice, one where you develop relationships, where your work will have a substantial impact on executive decision making, where you develop an understanding of the telecommunication business and where you are highly valued as the internal expert.

You will work collaboratively with other team members, at all levels, during an exciting time for the organization. Your ability to listen to stakeholders’ fundamental concerns, to formulate creative solutions and to build effective relationships with them, will be critical to your success.

You will be based out of our Markham office with the ability to work from home 2 days a week. Greater in-office presence may be required during the early stages of your tenure as you build relationships and learn about the business.

• Reviewing, drafting, and negotiating a variety of commercial agreements (including complex technology supply agreements) and agreements critical to Xplore’s network expansion
• Advising on compliance with federal and provincial statutes and regulations
• Helping to prevent litigation, where necessary, by promptly settling claims and suggesting improvements to internal processes
• Providing litigation support before provincial and federal courts, as well as administrative tribunals including the Canadian Radio-television and Telecommunications Commission
• Supporting the Marketing Team by reviewing advertising initiatives and advising on legal compliance
• Working closely with the Executive Team and the Leadership Team, and each of the business units, in a manner that fosters autonomy
• Providing professional, timely, and business-oriented legal advice in a collegial manner
• Developing and enhancing processes to automate, streamline, or improve corporate functions (including through the use of AI tools)
• Actively managing external counsel where required
• Researching, analyzing, and communicating changes to laws and regulations that may affect the business units

• 0 to 3 years of corporate/commercial law experience, including commercial and corporate law
• Member of the Law Society of Ontario (or equivalent) in good standing
• Strong research and analytical abilities
• Excellent information management, drafting, and presentation skills
• Knowledge of the telecom / technology industry, or willingness to acquire such knowledge
• Experience conducting due diligence reviews of corporate records and commercial agreements is an asset
• Experience advising on regulatory compliance in a federally regulated industry is an asset
• Bilingualism in English and French is an asset
