About this opportunity:

Cenovus is seeking an experienced paralegal or assistant corporate secretary to join its Corporate Secretarial team in the role of Assistant Corporate Secretary. The Corporate Secretarial team supports Cenovus's efforts to establish and maintain a robust corporate governance structure, which fosters trust, transparency, and accountability, leading to improved decision-making, risk management, and overall business performance. It also enhances investor confidence, attracts investment, and supports long-term sustainability by aligning shareholder and partner interests.

What you’ll do:

  • Perform advanced paralegal and corporate secretarial functions relating to the independent coordination, preparation, drafting, analysis and review of legal documents, including parent company Board and Committee materials

  • Maintain minute books, including virtual file room and records.

  • Coordinate parent company Board and Committee meetings (virtual, hybrid or in-person), including meeting materials and logistics

  • Manage the Corporate Secretarial budget, including re-forecasting, reconciliation and year-end accruals

  • Prepare and present corporate governance recommendations to client groups

  • Provide research, support, and information based on a review of legislation, corporate policies, precedents and best and peer practice

  • May supervise a legal assistant or paralegal

Who you are:

Our ideal candidate will have the following minimum requirements:

  • Legally authorized to work in Canada

  • 8+ years' experience as a paralegal or legal assistant

  • Post-secondary education in law, communications or similar considered an asset

  • Understanding of basic legal principles and processes and an in depth understanding of corporate governance

  • Experience with BoardVantage or a similar online board book tool

  • Experience with CORES, SEDAR+, SEDI, TSX and NYSE filings
