Corporate Law Clerk

The successful candidate must be available to travel onsite in Ottawa 4-5 days per week.

Responsibilities:

  • Handle large volume requests related to day-to-day corporate activities, including but not limited to share issuances, transfer requests, and changes in directors, officers, and registered office. Ensure timely and accurate completion of these requests in compliance with applicable laws and regulations.
  • Maintain and update minute books for multiple corporate entities. Assist with pre-closing minute book clean-up and post-closing minute book updates, ensuring all corporate records are properly organized and in good standing.
  • Establish and maintain Employee Stock Option Plans (ESOP), including processing grants and exercises.
  • Handle matters related to corporate reorganizations, including continuances, amalgamations, and various amendments to corporate charters and by-laws.
  • Review and update minute books in connection with various financing transactions, mergers and acquisitions (M&A) deals, and other corporate transactions.
  • Be comfortable working with and manipulating PDF documents, including creating, editing, and organizing legal and corporate documents in a consistent and organized manner.
  • Proactively collaborate with team members across various offices to ensure tasks are completed efficiently and within deadlines.

Skills and Qualifications:

  • Strong knowledge of corporate governance practices and corporate law, particularly about Ontario-based corporations governed by the Canada Business Corporations Act.
  • 3+ years’ experience working as a Law Clerk.
  • Highly proficient in managing large volumes of requests and documentation in a timely and organized manner.
  • Strong document management skills, with a particular emphasis on working with PDF files and related software.
  • Excellent communication skills, both written and verbal, with the ability to liaise effectively with internal teams and external parties.
  • Ability to work in a collaborative, multi-office environment with diverse teams.
