We’re looking for a person who is passionate about legal challenges in commercial financing, based in Ontario. This is a new position reporting to the Senior Manager. You will act as legal counsel for our partners in Commercial and Private Banking in Ontario, and other key provinces to support the Bank in its development strategy. Your job:- Understand business issues, identify the needs of various stakeholders, and propose strategies, keeping in mind the varied nature of files
- Draft, analyze and interpret various bank documents, including credit agreement templates, security documents and other bank forms
- Negotiate with the various parties involved in financing transactions (internal partners and external legal counsel)
- Issue and draft legal opinions in commercial law, corporate finance and securities
- Participate actively in implementing new products, special projects and developing policies, standards, practices and processes in commercial and corporate financing
- Analyze bills and new regulations to inform business lines
- Identify the risks associated with the Bank’s products and activities (legal and reputational) and propose solutions to mitigate these risks
- Interact with associations, organizations and external stakeholders.

Required competencies:
- Bachelor of Law plus at least 3 to 5 years of relevant experience OR a Master of Law plus 3 years of relevant experience
- Member of the Law Society of Ontario (Law Society of Alberta, British Columbia, Saskatchewan or Manitoba, an asset)
- Relevant experience in corporate financing
- Strong analytical, interpersonal, and writing skills
- Leadership skills and ability to work on a team
- English required, French an asset
