Job Description:

The Corporate Secretary’s Department oversees corporate governance, corporate regulatory compliance and company administration matters for the publicly traded parent company Sun Life Financial Inc. (TSX, NYSE, PSE: SLF), its principal operating insurance company Sun Life Assurance Company of Canada and all Canadian subsidiaries in the corporate structure. The role will be a member of the Corporate Secretary Department’s team that is responsible for managing the department’s compliance risks and ensuring the department’s operations and disclosure are compliant with relevant laws, regulations, internal policies and by-laws. The role is responsible for conducting compliance analysis and managing the regulatory compliance aspect of the companies that are under the department’s purview including but not limited to the management of regulatory filings, company profiles and registers, company and directors & officers’ disclosures, authorized signers.

The role will report to the Assistant Vice-President, Board and Subsidiary Governance & Assistant Corporate Secretary.

What will you do?

  • Oversee all control documents for regular compliance mandates overseen by the team in the Corporate Secretary’s Department including the Compliance Office database

  • Correspond with regulators in Canada and other jurisdictions in which the managed companies are registered and regulated

  • Manage non-financial regulatory filings with local and global regulators and Stock Exchanges including OSFI, Hong Kong Companies Registry (HKCR), National Association of Insurance Commissioners, US (NAIC), Accounting and Corporate Regulatory Authority (ACRA) for the top two parent companies

  • Assist with the production and distribution of the quarterly corporate organization chart and ancillary subsidiary listings for regulatory filings

  • Participate in internal and external requests that require corporate disclosure (e.g. KYCs, regulatory examinations, external and internal regulatory audits)

  • Collaborate with global legal, compliance and secretarial teams and conduct compliance analysis and due diligence for regulatory requests and submissions

  • Manage queries related to signing authorities for the top two parent companies

  • Oversee activities related to the maintenance of the entity management database (GEMS) to safeguard data complacency and integrity

  • Manage group mailboxes and triage requests

  • Work collaboratively with the Subsidiary Governance team on matters relating to Canadian subsidiaries (e.g. annual proceedings, board preparations, regulatory correspondence) and assist the team with the administration and maintenance of the subsidiary governance framework

  • Collaborate with the Board and Shareholder Services & Governance Solutions teams from time to time as required

  • Assist with other duties as delegated or assigned in the department, including routine and special projects, as required

What do you need to succeed?

  • More than seven years of experience as a compliance or governance professional in a public company’s Corporate Secretary’s Department, law firm or in-house legal environment

  • Law Clerk designation or equivalent an asset

  • University degree or college diploma preferred

  • Advanced computer skills (e.g. Microsoft Office applications, Adobe Acrobat Pro and data management systems) and use of office equipment

  • Ability to work independently as well as in a team and manage multiple priorities and timelines with sensitivity to stakeholder needs and deadlines

  • Ability to apply critical thinking in processes, escalations and issue resolution

  • Meticulous, diligent and attentive to details

  • Ability to work effectively in a fast-paced, complex and evolving environment

  • Excellent written and verbal communication and organizational skills (including use of plain language)

  • High degree of integrity and ethics, good judgement and exceptional relationship building and interpersonal skills

The Base Pay range is for the primary location for which the job is posted. It may vary depending on the work location of the successful candidate or other factors. In addition to Base Pay, eligible Sun Life employees participate in various incentive plans, payment under which is discretionary and subject to individual and company performance. Certain sales focused roles have sales incentive plans based on individual or group sales results.
