Job Summary:
The Director of Board Governance and Corporate Secretary advances governance excellence at BCLC by acting as a strategic liaison between the Board of Directors and Senior Management. This role involves overseeing Board operations, ensuring regulatory compliance, providing innovative governance solutions, and driving process improvements. With a focus on strengthening governance to support a forward-thinking organization, this position is instrumental in supporting the governance of BCLC’s purpose and commitment to community. The role reports directly to the Board Chair and the CEO.
Key Responsibilities:
- Provide expert guidance on corporate governance, trends and best practices, and ethics to the Board and management.
- Foster effective relationships between the Board and Management.
- Advise on Board operations, governance policies, and ensure compliance with laws and regulations.
- Advise the Board on effective oversight of cybersecurity, purpose, ESG (environmental, social and governance), stakeholder and Indigenous relations, and other emerging governance topics.
- Works closely with Counsel and Chief Compliance Officer to ensure legal advice is available to all relevant stakeholders.
- Manage and attend Board and Committee meetings, including preparing materials, agendas, and minutes.
- Enhance governance practices using digital tools, AI, and analytics for efficiency and real-time monitoring.
- Support crisis management and advise on strategic responses to organizational challenges.
- Develop and maintain governance policies, manage the Board budget, and ensure proper and timely filings and fulfillment of disclosure requirements.
- Oversee Director education, orientation, development, and performance evaluations.
- Collaborate with legal and compliance teams on governance-related matters.
- Provide strategic advice on current affairs as it applies to the organization.
THE REQUIREMENTS
- 8-10 years of experience in senior governance or corporate secretary roles.
- A degree in Business, Law, Political Science, Public Administration or related field (master's and certification in governance preferred).
- Experience working with senior executives and boards in a corporate setting, preferably within a regulated industry.
- Strong knowledge of corporate governance best practices, risk management, and relevant digital tools.
- Experience developing and implementing governance frameworks, policies or strategies.
- Familiar with social purpose, ESG, equity, diversity and First Nations issues and their implications with corporate governance.
- Excellent written and personal communication, organizational, and leadership skills.

Compensation
·Salary $144,000 - mid-$180,000 - $225,000 with typical hiring +/- 5% of the midpoint.
